Terms of Service

1. Acceptance of Terms

By accessing or using any ADZIGN service, platform, or website, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree with any part of these terms, you must discontinue use of our services immediately.

2. Description of Services

ADZIGN provides enterprise software engineering services including, but not limited to: custom SaaS development, GovTech platform architecture, IoT system integration, legacy modernization, cloud migration, and secure API integration. Services are delivered under separate Statement of Work (SOW) agreements specific to each engagement.

3. Client Responsibilities

  • Provide accurate project requirements, technical specifications, and access credentials as required.
  • Ensure timely review and approval of deliverables within agreed review windows.
  • Maintain confidentiality of any shared technical documentation, architecture diagrams, or source code.
  • Comply with applicable laws and regulations in the jurisdiction of your organization.

4. Intellectual Property

Upon full payment for delivered software, ADZIGN assigns all ownership rights of the custom-built deliverables to the client, as defined in the SOW. ADZIGN retains the right to use general methodologies, frameworks, and non-proprietary techniques learned during engagement for future projects.

All pre-existing ADZIGN tools, internal libraries, and proprietary frameworks remain the sole property of ADZIGN Private Limited.

5. Payment Terms

All payment terms are defined in individual project agreements. ADZIGN reserves the right to suspend services in the event of payment default exceeding 14 business days beyond the agreed payment schedule.

6. Limitation of Liability

ADZIGN's total liability for any claim arising under a service engagement shall not exceed the total fees paid by the client in the three (3) months preceding the claim. ADZIGN is not liable for indirect, incidental, or consequential damages.

7. Governing Law

These Terms are governed by the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Raipur, Chhattisgarh, India.
